Partner Programme Agreement

This agreement sets out the rights and obligations of agencies, consultants, developers, resellers and solution partners taking part in the Shopiyz Partner Programme. Applying to the programme or accepting in the partner dashboard means you accept this agreement.

Shopiyz Partner Programme Agreement

This agreement is made between the company identified below (Shopiyz) and the individual or entity accepted into the Shopiyz Partner Programme (the Partner), together the Parties.

The programme is deliberately flexible. The earning model, rates, gifted licence allowances, any targets and special discounts are agreed for each partner individually and recorded in a Specific Terms document. Where the Specific Terms conflict with this agreement, the Specific Terms prevail to the extent of that conflict.

The coloured boxes at the start of each section are plain language summaries. They are provided for convenience only and are not legally binding; the clauses beneath them are.

This agreement does not replace the terms covering general use of the Shopiyz platform. The Partner remains subject to the Terms of Use for its own account and any stores it operates.

Definitions

Partner
An individual or entity accepted into the Shopiyz Partner Programme that promotes Shopiyz, refers merchants, builds stores on behalf of merchants or produces services on top of Shopiyz.
Specific Terms
The additional document, accepted in writing by both Parties (including acceptance in the dashboard), setting out the earning model, rates, gifted licences, durations, targets and any agreed sums for that Partner. It forms part of this agreement.
Referred Merchant
A merchant brought to Shopiyz by the Partner through a referral link, an enquiry form, the handover of a development store or another method accepted by Shopiyz, and who moves onto a paid plan.
Referral Link
The unique link or code issued to the Partner by Shopiyz that identifies which partner a referral belongs to.
Development Store
A test store opened by the Partner to build and hand over to a merchant, which carries no subscription fee and takes no orders until it goes live.
Net Subscription Revenue
Subscription amounts actually collected from a Referred Merchant, less taxes, refunded or cancelled amounts, chargebacks and any domain, app, shipping or third party service charges.
Earnings
What the Partner earns under this agreement and the Specific Terms, which may take the form of a recurring revenue share, a one off bounty, a gifted licence or a bonus.
Gifted Licence
A licence allowance granted to the Partner free of charge and usable on merchant stores, for example an allowance of 1, 5 or 10 stores.
Licence
The right to run a store on the Shopiyz platform on a given domain. A licence may be paid or drawn from a Gifted Licence allowance; in either case it is tied to a single domain.
Partner Dashboard
The Shopiyz administration screen where the Partner views referrals, earnings, gifted licence allowance and notices.
01

Scope of the Programme and Partner Types

In plain words: there are different kinds of partnership. Which one you are in, and what you earn, is written in the Specific Terms prepared for you.

Shopiyz offers partners several ways of working. A partner may operate in more than one category at the same time, in which case each activity is governed by its own rules.

Partner types

  • Referral partner: promotes Shopiyz and brings merchants through a referral link or enquiry form.
  • Agency and implementation partner: builds stores on behalf of merchants, provides design, integration, content and growth services, and hands the development store over to the merchant.
  • Reseller and sales partner: sells Shopiyz subscriptions into its own client base; invoicing and collection are set out in the Specific Terms.
  • Technology and solution partner: builds apps, themes or services that integrate with Shopiyz.

Shopiyz reserves the right to change the scope of the programme, the partner types and what it offers, on reasonable notice. Notice of changes is dealt with in section 15.

The partnership is not exclusive

Neither Party promises exclusivity to the other. Shopiyz may work with other partners and the Partner may work with other platforms. The Partner remains bound by the confidentiality and non solicitation provisions of this agreement.

02

Application, Acceptance and Account

In plain words: we do not have to accept your application. If we do, keeping the account secure and the details accurate is on you.

  • The Partner must be 18 or over, or authorised to act for an entity.
  • The trading name, tax details, address, email and phone given on application must be accurate, current and complete, and changes must be updated in the dashboard without delay.
  • Shopiyz may refuse an application without giving reasons, or ask for further documents.
  • The Partner is responsible for keeping its access details confidential and for everything done through its account.
  • The Partner must ensure its employees, subcontractors and agents comply with this agreement and is liable for their breaches as if they were its own.

The primary channel for notices is the email address held in the dashboard. Notices sent there are treated as received. Until a change of address, name or authorised contact is notified, notices sent to the details held in the dashboard remain valid.

Formation and duration

The agreement is formed electronically when Shopiyz accepts the application and the Partner accepts in the dashboard; no wet signature is required. It runs for an indefinite term until terminated under section 13. Approvals given in the dashboard, accepted Specific Terms and notices issued there bind the Parties.

03

Partner Obligations

In plain words: describe Shopiyz accurately, do not send unsolicited email or messages, and do not promise merchants things you cannot deliver.

Marketing rules

  • Unless the Specific Terms say otherwise, the Partner bears its own marketing costs.
  • No unsolicited bulk email, SMS or calls. Every commercial message must identify the sender and offer a way to unsubscribe.
  • No misleading, exaggerated or unverifiable statements about Shopiyz. Pricing, commission and feature information must be taken from current official sources.
  • The Partner may not commit Shopiyz to anything or hold itself out as its representative or employee.
  • The Partner may not publish pages that imitate the design, interface or website of Shopiyz.

Compliance and good faith

  • The Partner obtains any permits and licences its own activity requires and complies with applicable law.
  • Where the Partner acts as agent for a merchant, it discloses to that merchant the earnings it will receive under this agreement.
  • The Partner tells Shopiyz without delay of any claim, complaint or investigation that could affect Shopiyz.
  • The Partner accesses merchant stores only within the authority the merchant has given and only with the tools made available to it.
04

Earning Models

In plain words: earnings are not one size fits all. A recurring share, a one off bounty, a gifted licence or a bonus may apply, alone or together. Your Specific Terms say which.

Shopiyz applies one or more of the models below. As a rule a recurring share and a one off bounty are not both paid for the same Referred Merchant; if they are to be combined, the Specific Terms say so expressly.

Available models

  • Recurring revenue share: a share of the Net Subscription Revenue of a Referred Merchant, at the rate and for the period set out in the Specific Terms. Where no period is stated, it continues while that merchant's subscription and this agreement remain in force.
  • One off bounty: a fixed amount paid once, when a Referred Merchant moves to a paid plan and completes the minimum period set out in the Specific Terms.
  • Gifted licence: a free store allowance granted instead of, or in addition to, a share or bounty; see section 5.
  • Volume and tier bonus: an additional rate, allowance or one off award for partners reaching an agreed number of active merchants.
  • Project fee: an amount agreed separately for a specific merchant or campaign.

Where are the rates and amounts?

Percentages, bounty amounts, allowances, targets and periods are not fixed in this agreement; they are set for each partner in the Specific Terms according to the type and volume of work. No particular rate or amount can be claimed on the basis of this agreement alone before Specific Terms are agreed.

Shopiyz may change rates, bounty amounts and allowances for the future, following the notice procedure in section 15. A change does not affect earnings that arose before it took effect.

05

Gifted and Free Licences

In plain words: you may be granted a free allowance, for example 1, 5 or 10 stores. It cannot be sold or transferred, and it is withdrawn if it is abused. Once a gifted licence is assigned to a domain it is used up, even if someone changes their mind.

  • The allowance, its size and its duration are set out in the Specific Terms and shown in the dashboard.
  • The allowance is for genuine merchant stores. It may only be used for the Partner's own store if the Specific Terms permit it.
  • A Gifted Licence may not be sold, rented, transferred or converted into cash.
  • Unless agreed otherwise, no recurring revenue share arises for a store opened on a gifted licence.
  • Whether any earnings are paid on the renewal fees of such a store in later years is at the discretion of Shopiyz; as a rule none arise.
  • When the gift period ends the store moves to a paid plan chosen by the merchant, and the Partner must tell the merchant beforehand.
  • An unused allowance lapses at the end of its period and does not convert into money.

A licence assigned to a domain is not refundable

Once a licence from the allowance is assigned to a domain it counts as used and is deducted from the allowance. Even if the merchant or the Partner later changes its mind, does not launch the store, closes it or changes domain, the licence is not refunded, is not moved to another domain, is not restored to the allowance and does not convert into money or any other right.

Earnings in later years

Even where a store opened on a gifted licence moves to a paid plan after the gift period, Shopiyz is not obliged to pay the Partner any share of renewal fees for later years. Whether a share is paid, and if so at what rate and for how long, is at the discretion of Shopiyz, which may set, change or end that practice unilaterally with effect for the future. Payment in one period does not create an accrued right for later periods. Any change takes effect for the future only, does not touch earnings already recorded in the dashboard, and follows the notice procedure in section 15.

Abuse

Where fake merchant records are created, the same merchant is registered more than once, or the allowance is sold, Shopiyz withdraws the allowance immediately, cancels the earnings involved and applies section 12.

06

Earnings, Invoicing and Payment

In plain words: earnings are calculated after the money actually reaches Shopiyz. Payment needs an invoice, and small balances are rolled over. A licence assigned to a domain is not refundable.

  • Earnings are calculated once the relevant amount has actually been collected from the Referred Merchant, and are then recorded in the dashboard.
  • The accounting period is monthly; payment is made in the month following the month in which the earnings are recorded.
  • Payment requires a valid invoice and up to date bank details in the dashboard.
  • Unless the Specific Terms say otherwise, a balance below the minimum payment threshold at the end of a period is carried into the first period in which the threshold is met. The threshold is published in the dashboard.
  • All earnings are exclusive of tax. Each Party bears its own tax obligations under applicable law.
  • In determining who a referral belongs to and whether payment was collected, the records of Shopiyz are conclusive save for manifest error.
  • The Partner must raise any objection to a calculation in writing within 15 days of it becoming visible in the dashboard; a calculation not disputed within that period is treated as accepted.
  • If the Partner does not supply the invoice, tax and bank details needed for payment within 6 months of earnings becoming visible, Shopiyz may hold payment until they are provided.
  • Where there is a suspicion of fraud, money laundering or breach of this agreement, Shopiyz may hold the relevant payments while it investigates. If no breach is found, payment is made without further delay.
  • Where either Party is late in paying money due, interest accrues at 4% per year above the Bank of England base rate.

Licence fees are not refundable

Fees collected for a paid licence or subscription assigned to a domain are not refunded. A change of mind by the merchant or the Partner, failure to launch, early closure or a change of domain does not create a right to a refund, and the remaining period cannot be moved to another domain or another merchant. This does not affect cases where Shopiyz is at fault in failing to provide the service, or refunds required by law.

Set off and recovery

Amounts overpaid because of refunds, cancellations, chargebacks or miscalculation are set off against future earnings. If the agreement ends before recovery is complete, the Partner repays the balance within 30 days of notice from Shopiyz.

07

When No Earnings Arise

In plain words: nothing is paid for your own stores, fake records, refunded payments or artificial traffic.

  • Referrals of stores belonging to the Partner, its owners, its staff or companies under common control.
  • Amounts refunded to a merchant, cancelled, or subject to a chargeback.
  • Records found to be fake, duplicated or fraudulent, and traffic produced by bots, automated clicks, cookie stuffing or similar methods.
  • Businesses already in discussion with Shopiyz before the referral, or already Shopiyz merchants.
  • Payments relating to Shopiyz staff or to staff of the merchant concerned.
  • Referrals of merchants selling goods or services that are unlawful, prohibited or contrary to the Shopiyz acceptable use rules.

Shopiyz may ask for information about the traffic source and acquisition method to assess whether a referral qualifies. Where it turns out that no earnings arose, amounts already paid are set off under section 6.

08

Brand Use and Intellectual Property

In plain words: you may use the Shopiyz brand for promotion, within the rules. You may not build it into your own name, domain or product name. The partner badge goes on your own channels and always with the independence notice.

  • For the term of this agreement Shopiyz grants the Partner the right to use its brand for promotional purposes only. The right is non exclusive, non transferable and revocable at any time.
  • The Shopiyz brand may not be used in the Partner's trading name, logo, domain name, social media handle, app or theme name; where written permission is given, its scope governs.
  • The Partner may not buy search advertising keywords containing the Shopiyz brand or similar terms, and may not register confusingly similar domains.
  • Shopiyz promotional artwork may not be altered or adapted.
  • The Partner permits Shopiyz to use the Partner's brand to promote the partnership; that permission lasts for the term of the partnership.
  • Partner badge: Shopiyz may issue the Partner a badge showing its tier. The badge is used only on the Partner's own channels (website, proposals, presentations) and only in the form supplied by Shopiyz; it is not required on stores delivered to merchants.
  • The badge name, tier and wording may not be changed, and words such as "authorised", "official", "certified" or "representative" may not be added. The independence notice specified by Shopiyz is shown alongside the badge.
  • Tier and badge allocation are at the discretion of Shopiyz and create no accrued right; if the tier is lowered or the partnership ends, use of the badge stops immediately.
  • All intellectual property in the Shopiyz platform, software, design and documentation belongs to Shopiyz. This agreement gives the Partner no ownership of, or access to the source of, the platform.
  • Themes, apps and content created by the Partner belong to the Partner. The Partner grants Shopiyz the licence needed to offer them on the platform and warrants that they do not infringe third party rights.
  • Suggestions and feedback the Partner gives about the programme, dashboard or services are not treated as confidential; Shopiyz may use them free of charge and without time limit.
09

Confidentiality and Data Protection

In plain words: use what you learn only to do the work, share it with nobody, and tell us within 24 hours if there is a breach.

  • Each Party keeps confidential all non public information of the other and uses it only to perform this agreement.
  • Merchant lists, pricing and commission information, the content of the Specific Terms and merchant data are confidential information.
  • The Partner keeps merchant data only for the purpose of serving the merchant it relates to and only for as long as needed, and may not sell or transfer it to third parties.
  • The Partner may not use merchant data for any other purpose, including training artificial intelligence models, without the written permission of that merchant and of Shopiyz.
  • The Partner applies industry standard security measures and notifies Shopiyz within 24 hours of becoming aware of a data breach.
  • Confidentiality obligations continue for 3 years after this agreement ends.

Data protection roles

Each Party is a separate controller for its own activities. The Partner meets its own transparency, lawful basis and security obligations to its clients and their customers under the UK GDPR and the Data Protection Act 2018, and under the EU GDPR where that applies. Where the Partner needs to process data on behalf of and on the instructions of Shopiyz, the Parties enter into a separate processor agreement. Fines and claims arising from the Partner's own breach are for its account.

For the general principles applying to personal data see the Privacy Policy page.

10

The Relationship with the Merchant

In plain words: we are not a party to the service you give your client. You cannot promise or decide anything for Shopiyz, and losses your client suffers because of you are yours, not ours.

  • The design, setup, consultancy and maintenance services the Partner provides to its client are the Partner's responsibility.
  • The Partner must have a written agreement with its client covering scope, fees and what happens if the client does not pay.
  • The Partner may not make promises, give undertakings, take decisions, or offer discounts, guarantees, delivery dates or feature commitments on behalf of Shopiyz, and may not create the impression that it is a representative or employee of Shopiyz.
  • Promises, undertakings and statements made by the Partner in the name of Shopiyz do not bind Shopiyz, and Shopiyz is not responsible for them.
  • Shopiyz is not liable for loss suffered by a merchant because of the Partner's misleading or inaccurate statements, failure to keep its promises, or incomplete, defective or late services; that liability rests with the Partner alone.
  • If a claim, complaint, regulatory action or proceeding is brought against Shopiyz on such grounds, the Partner covers it under the indemnity in section 15.
  • Shopiyz is not a party to disputes between the Partner and its client and is not obliged to intervene.
  • A Development Store becomes a merchant store when it is transferred to the merchant or a subscription fee starts to be paid, and is then subject to the Terms of Use.
  • In a dispute over store ownership Shopiyz may request documents and suspend the store until the rightful owner is established.
  • A Referred Merchant contracts directly with Shopiyz. The Partner may not claim ownership or any similar right over that merchant relationship, its data or the merchant portfolio; its right is limited to the earnings defined in this agreement.
  • The Partner must not refer businesses selling unlawful or prohibited goods and services.

For the rules on store ownership and platform use see the Terms of Use page.

11

Prohibited Activities

In plain words: fake records, artificial traffic, unauthorised brand use, poaching merchants and selling data are all strictly prohibited.

  • Creating fake, duplicated or non existent merchant records, or claiming referrals that are not the Partner's.
  • Producing artificial traffic through bots, automated clicks, cookie stuffing or misleading redirects.
  • Using the Shopiyz brand without permission, registering similar domains or handles, or running search advertising on Shopiyz brand terms.
  • Making misleading statements about Shopiyz or giving merchants guarantees Shopiyz has not given.
  • Selling, renting or sharing merchant data with unauthorised third parties.
  • For the term of this agreement and for 12 months after it ends, seeking to move merchants referred to Shopiyz, or met through Shopiyz, to a competing platform.
  • Creating fake reviews or ratings, or collecting reviews in exchange for benefits.
  • Dealing, under this agreement, with persons or entities on sanctions lists or in sanctioned countries.
  • Offering benefits to Shopiyz staff or officers in order to influence their decisions.
  • Attempting to circumvent technical limits of Shopiyz systems, running unauthorised security testing, or scraping data with automated tools.
12

Consequences of Breach and Recovery

In plain words: break the rules and your earnings are cancelled, what was paid is recovered, and depending on the breach an agreed sum becomes payable. If our loss is larger, we can claim the difference.

Where the prohibitions in section 11 are breached, Shopiyz may apply one or more of the remedies below. Agreed sums may be fixed in figures in the Specific Terms; where they are not, the measures below apply.

Remedies

  • Cancellation of the earnings concerned and recovery of any amount already paid.
  • Withdrawal of the Gifted Licence allowance.
  • Withdrawal of the partner badge and tier.
  • Suspension of the partner account.
  • Immediate termination for cause.
  • Payment of the agreed sum set out below.

Agreed sums

Fake records or artificial trafficUnearned amount + the same again
Unauthorised brand or domain useDaily sum after notice
Confidentiality breach or data saleLast 12 months of earnings
Breach of the non solicitation rule3x 12 month earnings for that merchant
  • For unauthorised brand use Shopiyz first gives written notice; if the breach is not stopped within 7 days, the daily sum set out in the Specific Terms begins to run.
  • The Parties agree that these sums are a genuine pre-estimate of the loss Shopiyz would suffer, are commercially justified, and are not a penalty.
  • An agreed sum may be set off against the Partner's pending earnings once it falls due.
  • Paying an agreed sum does not permit the breach to continue and does not remove the Partner's obligation to stop it immediately.
  • Where the loss of Shopiyz exceeds the agreed sum, it may claim the difference as damages.
  • Where no measure fits the breach, Shopiyz claims its loss on proof.

Proportionality

Remedies are applied in proportion to the seriousness of the breach. For good faith formal errors that cause no loss, Shopiyz gives a reasonable period to put things right rather than claiming an agreed sum.

13

Suspension, Termination and Withdrawal

In plain words: you can leave at any time on 30 days notice, and within the first 14 days you can withdraw without giving a reason. We can terminate immediately for serious breach.

For the Partner

  • The Partner may terminate on 30 days written notice, without giving reasons.
  • The Partner may withdraw within 14 days of the agreement being formed, without charge and without giving reasons. On withdrawal, earnings that have already arisen are paid and any unused Gifted Licence allowance is cancelled.
  • If the Partner does not accept a change to rates, bounties or allowances that is to its disadvantage, it may terminate within the notice period without liability.
  • Exercising a right to withdraw or terminate does not result in the refund of paid or gifted licences already assigned to a domain.

For Shopiyz

  • Shopiyz may terminate on 30 days written notice, without giving reasons.
  • Shopiyz may terminate immediately and without notice where the prohibitions in section 11 are breached, payment obligations are not met, the law is broken, or conduct damages the reputation of Shopiyz.
  • Shopiyz may suspend the partner account and earnings payments while it investigates. If no breach is found the suspension is lifted and pending earnings are paid.
  • Suspension may not exceed 60 days without good reason.
14

Consequences of Termination

In plain words: brand and badge use stop, unused allowance lapses, and what you have earned is paid, unless termination was for serious breach.

  • The Partner immediately stops using the Shopiyz brand, badge and promotional artwork and stops describing itself as a Shopiyz partner.
  • Access to the Partner Dashboard and referral links is closed.
  • Earnings that arose before termination are paid on the normal payment schedule.
  • Where termination follows a breach of section 11, earnings that have arisen but not been paid are not payable and are set off against any agreed sum.
  • Unless the Specific Terms say otherwise, any recurring revenue share ends on the termination date.
  • Unused Gifted Licence allowance is cancelled. Merchant stores already opened on the allowance are unaffected; at the end of the period the merchant moves to a plan of its choice.
  • Referred Merchants remain with Shopiyz. The Partner may not require their transfer, the closure of their stores, or any further payment for its portfolio.
  • The provisions on confidentiality, non solicitation, agreed sums, limitation of liability, indemnity, records and evidence, and governing law survive termination.
15

Limitation of Liability and Indemnity

In plain words: we are not liable for indirect losses such as lost profit, and our liability is capped at what we paid you in the last 6 months. If a claim reaches us because of what you did, you cover it.

  • Shopiyz is not liable for indirect loss, loss of profit, loss of business or loss of data.
  • The total liability of Shopiyz under this agreement does not exceed the earnings paid to the Partner in the 6 months before the event giving rise to the claim.
  • The programme, dashboard and promotional materials are provided as they are; they are not warranted to be uninterrupted or error free.
  • The Partner indemnifies Shopiyz against claims brought against it because of the Partner's breach of this agreement, breach of law, promises given to its clients or infringement of third party rights, including reasonable legal costs.

Nothing in this section limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited by law.

16

Changes, Assignment and General

In plain words: we can change the terms but we give 30 days notice of significant changes. You cannot assign the agreement. Disputes go to the courts of England and Wales.

  • Shopiyz may update this agreement and the programme rules. Material changes that disadvantage the Partner take effect 30 days after notice to the email address held in the dashboard.
  • If the Partner does not accept the change it may terminate within that period; continuing in the programme without giving notice of termination is treated as acceptance.
  • Where required by a change in law, for security or to prevent abuse, changes may take effect immediately.
  • The Partner may not assign its rights or obligations without the written consent of Shopiyz. Shopiyz may assign to its group companies.
  • The Parties are independent businesses. This agreement creates no partnership, agency, employment or joint venture, and the Partner may not commit Shopiyz to anything.
  • The Partner acts in its own name and for its own account and is not a commercial agent, distributor or sole authorised reseller of Shopiyz. It is granted no exclusivity for any territory, customer group or product, and the Parties agree that the Commercial Agents (Council Directive) Regulations 1993 do not apply to this agreement.
  • If a provision is held invalid, the rest of the agreement continues in force.
  • A failure to enforce a right is not a waiver of it.
  • A person who is not a party to this agreement has no right to enforce any of its terms.

Governing law and jurisdiction

This agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over disputes arising from it. This agreement together with the Specific Terms forms the entire agreement between the Parties about the partnership and replaces earlier discussions.

17

Records, Audit and Force Majeure

In plain words: in a dispute our system records are what counts. If you collect the money yourself we can inspect your records. Neither side is blamed for delays caused by events outside its control.

Records and evidence

  • The Parties agree that the system records, dashboard records, server and transaction logs, email correspondence and electronic approvals of Shopiyz are conclusive evidence in a dispute, save for manifest error.
  • Shopiyz keeps those records for the periods required by law.

Audit

  • For resellers and sales partners that collect payment themselves, Shopiyz may inspect records, or appoint an independent auditor, on reasonable notice during working hours and limited to transactions under this agreement.
  • Shopiyz bears the cost of the audit. However, if the audit shows amounts understated by more than 5%, the Partner bears the cost and pays the shortfall with interest.
  • The Partner provides the information and documents requested for the audit within a reasonable period.

Force majeure

Neither Party is liable for failing to perform to the extent it is prevented by earthquake, flood, fire, epidemic, war, terrorism, strike, cyber attack, general failures of power or internet infrastructure, acts of public authorities or similar events outside its reasonable control. The affected Party gives notice without delay and takes reasonable steps to limit the effect. If the event lasts longer than 60 days, either Party may terminate without liability.
